NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING.

THE FOLLOWING SWEEPSTAKES IS open ONLY to individuals 18 YEARS OF age OR OLDER who are legal residents of THE 50 UNITED STATES OR the DISTRICT OF COLUMBIA (“D.C.”). VOID OUTSIDE THE UNITED STATES/D.C. AND WHEREVER PROHIBITED.THIS SWEEPSTAKES WILL BE CONSTRUED AND EVALUATED ACCORDING TO U.S. LAW. SWEEPSTAKES BEGINS AT 12:00:01 AM CENTRAL DAYLIGHT TIME (cDt) ON aPRIL 1, 2009AND ENDS AT 11:59:59 PM cDt ON jUNE 30, 2009 (THE "PROMOTION PERIOD"). DO NOT ENTER THIS SWEEPSTAKES UNLESS YOU ARE ELIGIBLE AND LOCATED IN THE 50 UNITED STATES or D.C.

HOW TO PLAY: Visit officedepot.sharpie.com and follow on-screen instructions to complete the Sweepstakes entry form with all required information and submit as instructed on-screen during the Promotion Period. All entries must be received by 11:59:59 P.M. CDT on June 30, 2009. Limit one entry per person/email address per day (a “day” begins at 12:00:00 a.m. CDT and ends at 11:59:59 p.m. CDT). If more than one entry is received from the same person or from the same e-mail address on any given day, all entries from said person or e-mail address on that day will be disqualified.Entries become the property of Sanford, L.P. (“Sponsor”) and will not be acknowledged or returned. Proof of submission is not proof of receipt by Sponsor. Entries made through any robotic, automatic, mechanical, programmed or similar entry duplication method are ineligible and will be disqualified. Sponsor reserves the right to disqualify any individual and all entries using such method. In the event of a dispute as to the identity of an entry, such entry will be deemed made by the person named on the entry form. Any entries not in conformance with these Official Rules will be disqualified.

ELIGIBILITY: Sweepstakes is open to individual legal residents of the 50 United States and D.C. who are 18 years of age or older at time of entry. Employees of Office Depot, Inc., Sanford, L.P., Speedway Motorsports, Inc., Wunderman and each of their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, sweepstakes judges, and members of the immediate families (defined as spouses, parents, children and siblings, whether such family members are biological, adoptive, step or in-law) of such employees and those living in the same household of such employees are not eligible to enter or win.

DRAWING: Winners will be determined in a random drawing conducted on or about July 10, 2009 by Wunderman, the sweepstakes administrator, from all eligible entries received during the Promotion Period. Odds of winning a prize depend on total number of eligible entries received.

PRIZES/APPROXIMATE RETAIL VALUES: One (1) GRAND PRIZE: A trip for two to the SHARPIE 500 on August 22, 2009 at the Bristol Motor Speedway in Bristol, Tennessee. Prize includes two tickets to the SHARPIE 500 and Food City 250 races; round trip coach airfare for two (winner and one guest) from major airport nearest winner's home (if winner lives within 150 miles of Bristol, Tennessee, roundtrip limo service will be awarded in lieu of airfare and any difference in prize value will not be awarded); ground transportation while in Bristol; three nights hotel accommodations (double occupancy); two (2) pit passes that will permit the Grand Prize winner and travel companion (if eligible) to watch the SHARPIE 500 from the infield at Bristol Motor Speedway; a Sharpie Prize Package (as described below); and $1,000 spending money for the winner. The Approximate Retail Value (ARV) of the Grand Prize is: $5,000. Winner is responsible for meals, gratuities and all other expenses not specified herein. Sponsor reserves the right to structure travel destinations, routes, and hotel selection at its sole discretion. If Grand Prize winner is unable to travel on designated dates, Grand Prize will be forfeited and may be awarded to an alternate winner, time permitting. Approximate retail value of the prize is based on estimated airfare as of February, 2009 (actual value may vary based on point of departure and/or airfare fluctuations and any difference between the stated approximate value and actual value of prize will not be awarded).

Forty (40) FIRST PRIZES: Sharpie Prize Package including Sharpie apparel, hat and a Sharpie Marker Pack and 1:64 scale Sharpie paint scheme die cast car. ARV: $60.00 each.

Total approximate retail value of all prizes: $7,400.

PRIZE NOTIFICATION/WINNER VERIFICATION: The potential Grand Prize winner will be notified by overnight mail (and his/her parent or legal guardian if winner is an eligible minor) and will be required to execute and return an affidavit of eligibility, liability release and, except where prohibited by law, a publicity release within seven (7) days of date printed on prize notification, or prize will be forfeited and an alternate winner selected from all eligible entries received, time permitting. If Grand Prize winner is an eligible minor (18 in AL or NE), the Grand Prize will be awarded to his/her parent or legal guardian (on minor's behalf), who will be required to sign and return all required documents and accompany minor on trip. Grand Prize winner's travel companion may not be a minor unless Grand Prize winner is the parent or legal guardian of the travel companion. Grand Prize winner’s travel companion must sign and return a liability/publicity release within time frame specified by Sponsor. If travel companion is an eligible minor, in accordance with these rules, then Grand Prize winner must execute such documents on companion’s behalf. If Grand Prize winner or winner’s travel companion is an eligible minor in accordance with these rules, s/he may not be able to participate in the infield portion of the prize described below due to official NASCAR regulations.

Winner and travel companion must travel on same itinerary. If after winner’s departure the SHARPIE 500 race is cancelled or delayed beyond winner's scheduled stay in Bristol, no compensation will be awarded in lieu thereof, but remainder of prize (transportation, hotel, Sharpie Prize Package and spending money) will be awarded. If SHARPIE 500 race is cancelled indefinitely prior to winner’s departure for Bristol, an alternate prize of equal or greater value will be awarded. By accepting prize, Grand Prize winner acknowledges the inherently dangerous nature of and risks in attending car racing, and other public events, including but not limited to personal injury and or death. Trip prize (or any portion thereof) may not be sold, traded, transferred, assigned, refunded, or redeemed for cash and cannot be rescheduled to dates not within the trip period set forth above.

Prizes are non-transferable except as provided herein or at the discretion of the Sponsor. No prize substitutions or cash redemptions, except Sponsor reserves the right to substitute a prize of equal or greater value if for any reason an advertised prize cannot be awarded as intended in these rules; and potential winners agree to such substitution as a condition of entry in this Sweepstakes. Limit one prize per household. Winners are responsible for payment of any income taxes on prizes under applicable federal, state and local laws. Sponsor advises potential winners to seek independent tax counsel prior to accepting a prize.

By accepting the prize, each winner consents to the use of his/her name, photograph, quote and/or likeness for advertising/publicity purposes in commerce and in any and all media worldwide without limitation or additional compensation, except where prohibited by law.

If any prize notification letter or prize is returned as undeliverable, or if appropriate affidavits and releases are not received within the prescribed period, the corresponding prize will be forfeited and awarded to an alternate winner, chosen at random from the remaining eligible entries received, provided, with respect to the Grand Prize, that adequate time remains to do so before the SHARPIE 500 race. All prizes claimed will be awarded. Judges’ decisions are final in all matters relating to this sweepstakes.

MISCELLANEOUS: By entering and/or accepting a prize, each entrant and/or winner (a) agrees to release Sponsor, Office Depot, Inc., Speedway Motorsports, Inc., Wunderman and each of their respective parent companies, affiliates, subsidiaries, divisions, advertising and promotion agencies, and all of their respective employees, directors, officers, shareholders, agents, attorneys, successors or assigns (collectively “Releasees”), from any and all liability, loss or damage of any kind incurred with respect to participation in this Sweepstakes, the awarding, receipt, possession, and/or use or misuse of any prize, or participation in prize-related activities (including but not limited to travel related thereto); and (b) consents to the use of his/her name, likeness, quotes and/or identity for advertising and publicity purposes by Releasees, with no additional compensation, as permitted by law. Releasees are not responsible for and are hereby released from liability with respect to: (i) electronic transmissions/entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not received by the Sponsor or its agents for any reason, (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries, or for destruction of or unauthorized access to, or alteration of, entries, (iii) failed or unavailable hardware, network, software or telephone, cable or satellite transmissions, damage to entrants’ or any person’s computer and/or its contents, or causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes or (iv) any entries submitted in a manner that is not expressly allowed under these Official Rules. All incomplete or non-conforming entries will be disqualified. Releasees are further not responsible for and are hereby released from liability with respect to incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the transmission, receipt or processing of the entries. If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any Web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries per these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor’s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Sweepstakes. In the event this Sweepstakes is cancelled, Sponsor will conduct a random drawing to award the prizes from among all eligible, non-suspect, entries received prior to the time of the action or event warranting such cancellation.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY SUCH PERSON AND SEEK DAMAGES FROM HIM/HER TO THE FULLEST EXTENT PERMITTED BY LAW.

WINNERS LIST: For the names of the winners, mail a self-addressed, stamped envelope to: SHARPIE 500 Winner Request, PO BOX 324, Lombard, IL 60148-0324. All requests must be received by 7/31/09.
